Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Soteria Cloud website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, do not use our Services.

1. Service Overview

Soteria Cloud (Pty) Ltd is a platinum partner and cloud aggregator of Acronis Cyber Protect Cloud. We provide managed backup, disaster recovery, data protection, and cybersecurity services via local South African data centres and global infrastructure. We operate under a partner/reseller framework as well as direct engagements with end-users.

2. Eligibility

To use our Services, you must be at least 18 years old and have the authority to enter into binding contracts. By using our platform, you warrant that all information provided is true and accurate.

3. Use of Services

  • You agree to use the Services only for lawful purposes and in accordance with these Terms.
  • You may not misuse, reverse-engineer, or interfere with the functionality, security, or performance of our Services.
  • You are responsible for maintaining the confidentiality of your account credentials.

4. Partner & Reseller Responsibilities

Partners and resellers are responsible for onboarding, first-line support, and correct representation of our Services to end clients. Any misrepresentation or breach of these terms may result in termination of the partnership agreement.

5. Intellectual Property

All content, trademarks, logos, and intellectual property associated with Soteria Cloud or licensed from third parties (e.g., Acronis) remain the exclusive property of their respective owners. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

6. Service Availability & Support

While we strive for 99.9% uptime and operational resilience, we cannot guarantee uninterrupted access to Services. Scheduled maintenance and emergency interventions may cause temporary service disruptions. All support is subject to the SLA defined within your partner or client agreement.

7. Billing & Payment

All Services are billed in accordance with the pricing tier, usage metrics, and agreement signed. Failure to make timely payments may result in service suspension or termination. All fees are non-refundable unless otherwise stated in writing.

8. Termination

We reserve the right to terminate or suspend access to our Services immediately, without prior notice, for any violation of these Terms or applicable laws. You may cancel your services by following the proper notice procedures outlined in your agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Soteria Cloud shall not be liable for indirect, incidental, special, or consequential damages arising out of or related to your use of our Services, even if advised of such damages in advance.

10. Indemnification

You agree to indemnify and hold harmless Soteria Cloud, its directors, employees, and partners from any claims, liabilities, damages, or expenses (including legal fees) arising from your breach of these Terms or misuse of the Services.

11. Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be resolved under the exclusive jurisdiction of the South African courts.

12. Amendments

We reserve the right to modify or update these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the Services constitutes acceptance of the revised Terms.
